This website, content, membership information, data and other intellectual property (hereinafter jointly referred to as “Lifestyle 55+ Network, Inc. Intellectual Property” or L55+N Inc. or SeniorCareAccess.com) are owned by Lifestyle 55+ Network, Inc. By accessing, browsing, using or entering this site, the member, user or advertiser agrees to the following provisions:
If after reading these Terms and Conditions you are not satisfied or willing to accept, you are advised NOT to enter or use this site. If, however, you enter and use this site, it will be assumed that you have reviewed and agreed to these terms and conditions.

Definitions:
Members are individuals or organizations that have paid a fee to access data.
Users are individuals or organizations that access the free materials offered by the site.
Advertisers are individuals or organizations that pay a fee to market services or products on the site. Advertisers are also bound by the advertising agreement required by each advertiser prior to advertising.
Licensing Use:
The L55+N Inc. Intellectual Property is licensed to the Member, not sold;
(a) L55+N Inc. hereby grants to the Member and the Member accepts a non-exclusive, license to use the L55+N Inc. Intellectual Property as outlined in these Terms and Conditions;
(b) title, ownership rights, and all Intellectual Property rights in all L55+N Inc. Intellectual Property (including without limitation the related source code, object code and documentation) shall remain solely and exclusively owned by L55+N Inc.;
(c) the Member acknowledges the L55+N Inc. as the owner of all Intellectual Property, and all Intellectual Property rights relating thereto, and agrees not to take any action to jeopardize, limit or interfere in any manner with L55+N Inc. or its suppliers’ ownership of or rights in the L55+N Inc. Intellectual Property; and
(d) the Member acquires no rights whatsoever to any L55+N Inc. Intellectual Property except as specifically granted herein.
Limitations on Grant of License:
The license granted does not permit the member to, and such party agrees that it will not:
(a) use the licensed Intellectual Property or general information or results for any use or purpose other than, in the case of the Member, its internal business purposes, and, in the case of the L55+N Inc. the performance of the services hereunder;
(b) provide, lease, lend, application service provider or service bureau purposes, or otherwise use or allow others to use such licensed Intellectual Property for their own benefit or for the benefit of third parties;
(c) copy, reproduce or duplicate such licensed Intellectual Property or general information or results, by any means or in any manner, except as specifically provided herein or for reasonable backup purposes consistent with the grant of license described above; or
(d) use such licensed Intellectual Property in any manner not contemplated by or consistent with the grant of license described above.
Indemnity by the Member:
The Member agrees to defend, indemnify and hold L55+N Inc., its directors, officers, employees, agents, contractors and affiliates, harmless from any loss, damage or liability, including reasonable legal costs, that L55+N Inc. may incur as a result of or in connection with any of the following:
(a) the Member’s use of the data in any manner not contemplated by the specifications;
(b) the Member’s engagement in any activity that is illegal, offensive or immoral or that infringes on the rights of privacy or publicity, or any intellectual or proprietary rights of any third party;
(c) any valid claim that the Member’s use of any Member Materials or Content infringes the Intellectual Property rights of any third party;
(d) any claim or suit made by any client or member of the Member; or
(e) any breach by the Member of the Member’s obligations under this Agreement.
Member Use of License:
The license is only granted for individual use or under a group license as described within the contract. Individual license shall mean that only the registered individual Member may access the Intellectual Property and or data or information and that the Member’s secure password shall not be shared with any non-licensed user registered to that password. In the event that the Member has shared access, L55+N Inc. shall retain all rights to immediate termination of that licensed Member without any further reason, refund or pro rata refund and may be subject to legal action.
All information presented on SeniorCareAccess.com and any associated websites or social media platforms relating to SeniorCareAccess.com is of general interest only. L55+N Inc. strives to ensure the accuracy of information and materials found on the website and social media platforms, but neither warrants nor guarantees whatsoever that content or results on this site nor any third party site that links to or from SeniorCareAccess.com or L55+N Inc. is accurate, appropriate, complete, current, suitable nor truthful under the law.
